Terms of service

Last updated October 23, 2026

These terms apply when you use provenandfound.com or start a plan with Proven & Found ("we", "us"). "You" means the business that signs up and the person signing up for it. Your signed order form or written agreement controls if it says something different from these terms.

1. What we provide

Local marketing services, which may include Google Business Profile and Google Maps work, AI-answer work, community answers, Google and Meta ad management, video ads, appointment booking, call tracking and reporting through your lead list and monthly customer report. Your order form lists the services in your plan.

2. No guarantee

No ranking, lead volume or revenue is guaranteed. You are billed only for leads and results that meet the definitions in your agreement. Search engines, AI tools and ad platforms are run by other companies and change without notice. You close your own sales.

3. Pay per verified lead

  • You pay the published price for your industry for each lead or result that meets the lead definitions, at the prices on our pricing page on the day the lead posts, unless your order form says otherwise.
  • A monthly platform fee applies and counts toward lead fees: you pay the larger of the two. You set a monthly cap. Leads past the cap are delivered and not billed.
  • We bill monthly in arrears, after the dispute window closes, to the card or bank account you saved.
  • Month to month. Cancel online before the next month starts.
  • In this managed model, you pay Google and Meta directly for ad spend.

4. Monthly plans and the Verified Win

  • Your Verified Win is written into your order form before we start.
  • No monthly fee is charged until the Verified Win is met. If it is not met within 90 days, you owe nothing and the plan ends.
  • After the win, the plan is month to month, billed monthly in advance. You can cancel online at any time; a cancellation takes effect at the end of the month you have paid for.
  • Ad budgets for Managed Ads and Managed Ads Plus are paid by you directly to Google or Meta.

5. Campaigns we pay for

  • Applying does not guarantee approval, campaign launch or lead volume. Approval is case by case.
  • For an approved campaign, we pay the agreed Google or Meta media spend. There is no deposit. You pay the fixed price in your written agreement for each booked appointment that meets the definition on our lead definitions page. Calls and forms that do not book are not billed.
  • Your first 3 booked appointments that meet the lead definitions are free. Billing starts with booked appointment number 4. This applies once per business.
  • One business per trade per area: while your campaign is active, we do not take on another business in the same trade in your area for a campaign we pay for. Your area is your town, or in a large city, the part of the city named in your agreement.
  • If your area is open, we can hold it for you for 7 days while you decide. A hold is free, is not approval, and ends on its own after 7 days.
  • Your agreement states the eligible services and territory, duplicate and exclusion rules, required proof, dispute window, fixed price per booked appointment and monthly cap.
  • We pace spend through the month so your monthly cap is not used up early, and ads pause automatically at the cap or if a charge fails. We may pause or change campaign spend to manage quality, platform compliance and risk. You may stop the campaign as stated in your written agreement; booked appointments already delivered remain due.
  • A campaign we pay for runs in an ad account in your name. We have admin access and pay the ad spend. The account, ads, videos, landing pages, customer data and lead records are yours, as described in section 8.

6. Payment

You authorize us to charge your saved payment method for amounts due under these terms. Late payments may pause the services until they are paid. Prices do not include taxes, which we add where required.

7. Disputes and refunds

Dispute windows and reviews work as described in the lead definitions. Approved disputes are taken off your next statement. We do not issue refunds, except where the law requires them.

8. Your accounts and data

Your Google Business Profile, ad accounts (including the accounts for campaigns we pay for), the ads, videos and website content we create for you, call recordings and lead records belong to you. Tracked phone numbers can be moved to you if you leave, subject to the phone carrier's rules. You give us the access we need and keep it in place while we work together. You can download your lead records at any time while your plan is active and for 30 days after it ends.

9. Your responsibilities

  • Answer calls from our ads during your posted hours, return missed calls within 30 minutes, and mark no-shows within 72 hours.
  • Give us accurate information about your services, licences, insurance and service area, and tell us when it changes.
  • Review and approve ads, posts and emails we prepare when we ask you to.
  • Follow the laws that apply to your business, including advertising, licensing, fair-housing and consumer-protection rules.

10. What we will not do

We do not create fake reviews, post as your customers, or buy or sell leads. We follow the CAN-SPAM Act for email.

11. Calls, texts and AI

Tracked calls are recorded and may be transcribed and analyzed by our service providers, including with AI. See the call recording notice. Texts we send follow our text message terms.

12. Warranty disclaimer

Except as written in your order form, the services are provided "as is". To the extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

13. Limitation of liability

To the extent the law allows, neither party is liable to the other for lost profits, lost revenue, lost data or indirect, incidental, special or consequential damages. Our total liability for all claims relating to the services is limited to the fees you paid us in the 3 months before the claim arose. These limits do not apply to your payment obligations or to either party's fraud or willful misconduct.

14. Indemnity

You will defend and hold us harmless from third-party claims arising from your products, services, licences or business practices, or from content and information you supplied. We will defend and hold you harmless from third-party claims that content we created for you infringes someone else's intellectual property.

15. Ending the services

You can cancel as described above and on our cancel page. We can end the services with 30 days' notice, or right away if you break these terms or fail to pay. Amounts already earned stay due, and sections 7, 8 and 12 to 16 continue after the services end.

16. Governing law and disputes

These terms are governed by the laws of the State of Utah, without regard to conflict-of-law rules. Before filing any claim, each party will try in good faith to resolve the dispute by talking for at least 30 days. Any claim that is not resolved will be brought only in the state or federal courts located in Utah County, Utah, and both parties consent to those courts. Either party may bring a claim in small-claims court if it qualifies.

17. Changes to these terms

We may update these terms. We will post the new version here with a new date and email active clients at least 30 days before a change that affects them takes effect. Prices and terms in a signed order form do not change during its term without your agreement.
